Terms of Service

These terms are an agreement between you and Keraunos Enterprises LLC ("we", "us"), a Washington limited liability company, covering your use of Leftagraph at leftagraph.com (the "Service"). By using the Service you agree to these terms. If you don't agree, please don't use it.

1. What Leftagraph is

Leftagraph charts US companies' financial statement data from public SEC filings, plus figures we calculate from that data. It is an information tool only.

2. Not investment advice

Nothing on the Service is investment, financial, tax or legal advice, or a recommendation to buy, sell or hold any security. We are not a broker, dealer or registered investment adviser. You are solely responsible for your own investment decisions.

3. The data is provided as-is

• Financial data comes from companies' filings with the SEC. Companies can file late, restate figures or tag them inconsistently, and some (for example many foreign companies and ADRs) don't file standard US financial statements at all.
• Calculated figures depend on that data and on our formulas.
• Any market price data may come from third-party providers and is subject to their terms.
• Filing emails (from the watchlist) only tell you that a company filed a report with the SEC. They can arrive late or not at all, and they don't replace checking the company's filings yourself.

Data may therefore be incomplete, delayed or wrong. We don't guarantee its accuracy, completeness or timeliness. Verify anything important against the original filings.

4. Your account

You sign in with a link sent to your email address. Keep access to that email secure — anyone who can read it can sign in as you. You must be at least 18 to use the Service, including to create an account or buy a Pro subscription. Tell us promptly at the address below if you think someone else has accessed your account.

5. Pro subscriptions

• Availability. Pro is currently sold only to customers in the United States. The free Service is available everywhere.
• Price. The price and billing period (monthly or yearly) are shown before you subscribe. Payments are processed by Stripe. Applicable taxes may be added.
• Free trial. If you have never had a Pro subscription, your first one starts with a 7-day free trial. We take your payment method when you sign up, email you reminders before the trial ends, and charge the plan price when it ends, unless you cancel before then (Account → Manage billing). If you cancel during the trial, you keep Pro until the trial ends and you aren't charged. One free trial per person. We may change or stop offering the free trial for future sign-ups.
• Automatic renewal. Pro renews automatically at the end of each billing period and charges your payment method until you cancel.
• Cancelling. Cancel any time from your account (Account → Manage billing). You keep Pro until the end of the period you've paid for, and you won't be charged again.
• Refunds. Payments are non-refundable, except where the law requires otherwise.
• Price changes. We may change prices for future billing periods. We'll tell you by email before a change applies to you, and you can cancel before it takes effect.
• Features. Which features are in Free and Pro may change over time. Some features, such as market price data, depend on third-party licenses and may be limited or unavailable.
• Failed payments. If a payment fails and isn't resolved, Pro may end.

6. Fair use

You may use the Service for your own research, including in your work. You agree not to:

• scrape, bulk-download or automate access to the Service beyond normal use of its features;
• resell, sublicense or redistribute the Service or its data, or use it to build a competing product;
• redistribute any third-party market price data shown on the Service;
• share your account or sign-in links with others;
• interfere with, overload, probe or bypass the security of the Service; or
• use the Service in violation of any law.

Data downloads (such as CSV exports) are for your own use under these same limits.

7. Ownership

SEC filings are public records. The Service itself — its software, design, charts, calculations and name — belongs to Keraunos Enterprises LLC. These terms don't give you any rights in it beyond using the Service as described here.

8. Availability and changes

We may change, suspend or discontinue any part of the Service at any time, and we don't promise any particular uptime. If we discontinue Pro, we'll stop billing and you'll keep access until the end of your paid period or receive a pro-rated refund for the unused part.

9. Ending your use

You can stop using the Service at any time. We may suspend or end your access if you break these terms or misuse the Service. Sections 2, 3, 7, 10, 11 and 12 survive after your use ends.

10. Disclaimer

The Service and all data are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent the law allows.

11. Limitation of liability

To the fullest extent the law allows, Keraunos Enterprises LLC is not liable for any indirect, incidental, special, consequential or punitive damages, or for any trading or investment losses or lost profits, arising from your use of the Service or its data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US $50.

12. Governing law

These terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Washington, and you and we consent to their jurisdiction. Nothing here removes rights you have under consumer protection laws that can't be waived.

13. Changes to these terms

We may update these terms. We'll change the "Last updated" date above, and for material changes we'll notify Pro subscribers by email before they take effect. Continuing to use the Service after changes take effect means you accept them.
